Terms of Use for Canada

PLEASE READ AND REVIEW THE FOLLOWING TERMS OF USE AGREEMENT CAREFULLY BEFORE USING ANY WEBSITE OWNED AND OPERATED BY MERCK & CO., INC., (RAHWAY, NJ, USA), KNOWN AS “MSD”, “our company”, “we”, “us”, “our” (collectively the “Websites”). By using these Websites, you agree to this Terms of Use Agreement. If you do not agree, please exit and disregard the information contained herein.

Each Website is controlled and operated by MSD and is intended for use by residents of Canada, and its content is designed to comply with Canadian laws and regulations. Each site and these terms shall be governed by the laws of Quebec and the applicable laws of Canada without reference to principles of conflict of laws. You agree to be bound by such laws.

1. Acceptance. By using the Websites, you agree to be bound by and to comply with this Terms of Use Agreement. MSD reserves the right to change these terms from time to time, as it deems to be necessary. We will always post notice of those changes, and the date that they become effective, within the current Terms of Use Agreement on the Websites. You may view the current applicable version of this Terms of Use Agreement at any time through a link at the bottom of each page within the Websites.

2. Scope. The terms of use set forth in this agreement apply only to your use of the Websites. MSD may however operate other Websites that are covered by their own conditions as specified within those Websites.

3. Medical Information/Conditions. While there may be information on the Websites related to certain medical conditions and their treatment, should a medical condition exist, promptly see your own physician or health care provider. We do not offer personalized medical diagnosis or patient-specific treatment advice. Indeed, only your doctor or other health care professional, as a learned intermediary, can provide medical advice and determine if a product described in these, or any, Websites is appropriate for you.

By accessing and browsing each Website, you accept, without limitation or qualification, this Terms of Use Agreement and acknowledge that it supersedes any other agreement between you and MSD.

5. Ownership. Material on the Websites, including but not limited to text, images, illustrations, software, audio clips and video clips, is owned or otherwise provided by MSD, and MSD does not represent or warrant that such material does not infringe the rights of any other person or entity.

You may not copy, display, distribute, modify, transmit, reuse, repost, or use in any manner the content of the Website, including the text, images, audio, or video, without the prior written permission of MSD. Permission to use any portions of these materials in any manner including posting any portions on the Websites must be requested by contacting Our Company’s National Service Center at 1-800-672-6372.

Trademarks and logos (collectively, “Marks”) displayed on the Websites are registered or unregistered Marks of MSD or others, are the property of their respective owners, and may not be used without written permission of MSD or of the owner of such Marks respectively. Nothing contained herein shall be construed as conferring by implication, estoppel or otherwise, any license or right under any patent or trademark of MSD or any third party.

In all cases, any reproduction of information or material contained on the Websites pursuant to these terms must bear the proprietary rights notices which originally appear on or in conjunction with such information or material.

6. Representation. As a user of one or more of the Websites, you are liable for the accuracy of the information that you provide to us, including, but not limited to, your professional license number and your professional representation, if applicable.

Should you respond with information including feedback or data such as questions, comments, suggestions, or the like regarding the content of one of the Websites, such information shall be deemed to be non-confidential, unless as may be required under applicable law, and MSD shall have no obligation of any kind with respect to such information and shall be free to reproduce, use, disclose, and distribute the information to others without limitation. You also warrant that any information or material including ideas, concepts, know-how or techniques contained in this information which you provide to MSD electronically through your access to or usage of the Websites does not infringe the rights of any person or entity. MSD shall be free to use any ideas, concepts, know-how or techniques contained in such information for any purpose whatsoever including but not limited to developing, manufacturing, and marketing products incorporating such information.

8. Third Party Content and Links to Other Websites. The Websites may contain information brought to you by third parties. The Websites may also provide links to other websites. MSD assumes no responsibility for information provided by third parties or the content of other websites to which MSD provides links. MSD does not review or control the content of any non-MSD site. MSD does not endorse and is not responsible for the accuracy, content, practice of standards of any non-MSD sources. Any links to other sites are provided merely as a convenience to the users of the Websites. Those third parties’ websites are governed by their own terms of use which are usually displayed on the respective websites.

9. Disclaimer of Warranties and Limitation of Liability. MSD has taken reasonable measures to ensure that the information contained within each Website is reliable; however, by using this Website, you accept the information, products and services provided herein “AS IS.” MSD makes no express or implied warranty regarding the accuracy, content, completeness, reliability, operability, or legality of the Websites and/or of information contained within the Websites. MSD exerts reasonable efforts to provide a satisfactory service, but we do not warrant that the Websites will be accessible at any time without interruption, that they will be free of errors, breakdowns, failures, any harmful or damaging content or that they will be secure or protected from unauthorized access.

MSD may not, under any circumstances, be held responsible for any damage, loss, costs or expenses directly or indirectly related to the access or use of the Websites and/or their content.

10. Consequences. If your violation of the Terms of Use Agreement causes harm to others, you agree to indemnify and hold MSD harmless from and against any and all loss, damage, or expense. If any dispute arises between us regarding this Agreement or your use of one or more of the Websites, it shall be resolved through good faith negotiations between the parties. If such efforts prove unsuccessful, all such controversies, claims, or disputes shall be submitted to the jurisdiction of the courts of Quebec.
